1. Purpose And Scope
These Terms of Service (Terms) govern access to and use of Prime Global digital properties, including public websites, candidate and employer experiences, and related application programming interfaces and communications channels (collectively, the Platform).
By accessing or using the Platform, you agree to these Terms on behalf of yourself or the legal entity you represent.
2. Parties
Prime Global (also, we, us, our) provides recruitment, talent operations, business support, and related platform services. You (also, user, customer) means any individual or entity using the Platform.
3. Eligibility
You must have legal capacity to enter a binding agreement. If you use the Platform on behalf of an organization, you represent that you have authority to bind that organization.
4. Service Description
Prime Global provides, among other capabilities:
- Talent discovery and matching support for employers.
- Candidate profile and job application workflows.
- Communication and interview coordination features.
- AI-assisted recommendations and operational automation.
Service features may vary by region, account role, subscription, and rollout stage.
5. Accounts And Security
You are responsible for:
- Maintaining accurate account information.
- Protecting credentials and access devices.
- Promptly notifying us of suspected unauthorized access.
We may suspend access to protect users, data, or service integrity.
6. Acceptable Use
You must not:
- Violate applicable law or third-party rights.
- Upload unlawful, deceptive, discriminatory, or malicious content.
- Attempt unauthorized access, reverse engineering, or service disruption.
- Submit malware, scripts, or traffic intended to degrade the Platform.
- Misrepresent identity, role, qualifications, or hiring authority.
7. Data Inputs And Content
You retain ownership of content you submit. You grant Prime Global a non-exclusive license to host, process, transmit, and analyze such content to operate, secure, improve, and provide the Platform.
You warrant that you have rights to all submitted content and that processing such content under these Terms does not violate law or contracts.
8. AI-Assisted Functions
The Platform may provide AI-assisted outputs, including candidate-job matching, classification, ranking support, and workflow recommendations.
AI outputs are probabilistic and may contain errors. Users must apply human review before making employment, contractual, compliance, or other material decisions.
9. Confidentiality
Each party receiving non-public business, technical, security, or personal information from the other party must protect such information with reasonable care and use it only for permitted purposes.
10. Fees And Payment
If applicable, paid services are governed by an order form, statement of work, or separate commercial agreement. Unless otherwise stated:
- Fees are due per invoicing terms.
- Taxes are your responsibility except taxes on our net income.
- Late payments may result in service restrictions.
11. Third-Party Services
The Platform may integrate third-party providers for infrastructure, communication, analytics, document processing, and storage. Availability, functionality, and compliance posture may depend in part on those providers.
12. Intellectual Property
Prime Global and its licensors retain all rights, title, and interest in the Platform, including software, design, workflows, and documentation, except for your submitted content.
No rights are granted except as expressly stated in these Terms.
13. Disclaimer Of Warranties
To the maximum extent permitted by law, the Platform is provided on an as is and as available basis without warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation.
14. Limitation Of Liability

To the maximum extent permitted by law, Prime Global will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, or data.
Any aggregate liability arising out of or related to these Terms is limited to the amounts paid or payable by you to Prime Global in the twelve (12) months preceding the event giving rise to liability, unless a different cap is agreed in writing.
15. Indemnification

You agree to defend, indemnify, and hold harmless Prime Global and its affiliates, officers, employees, and agents from claims, damages, losses, and expenses arising from your misuse of the Platform, your submitted content, or your violation of these Terms or law.
16. Suspension And Termination
We may suspend or terminate access for material breach, legal risk, security threats, fraudulent conduct, or prolonged inactivity in accordance with reasonable operational policy.
Upon termination, obligations that by nature should survive will continue, including confidentiality, payment obligations, and liability sections.
17. Governing Law And Dispute Resolution

These Terms are governed by the laws specified in the applicable commercial agreement or, absent such agreement, by the laws of the jurisdiction where Prime Global contracts from. Disputes will be resolved by courts or arbitral forums designated in writing between the parties.
18. Changes To Terms
We may update these Terms periodically. Material changes will be communicated through reasonable channels, such as platform notices, account messages, or contract addenda.
